1. Acceptance of Terms

By accessing or using OIKLA products and services, including the Perception web application and the SHAPE DAW plugin (collectively, the "Services"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you must not use the Services.

OIKLA reserves the right to modify these terms at any time. Continued use of the Services following any changes constitutes acceptance of the revised terms.

2. Description of Services

OIKLA provides real-time psychoacoustic audio processing software based on equal-loudness compensation. The Services include:

  • Perception: A free, browser-based audio processing application that captures system audio or microphone input and applies real-time loudness compensation using WebAssembly.
  • SHAPE: A professional DAW plugin (AAX, VST3, AU) for mixing engineers, providing equal-loudness compensation within digital audio workstation environments.

All audio processing occurs locally on your device. No audio data is transmitted to or processed on OIKLA servers.

3. License and Usage

Perception (Web Application)

OIKLA grants you a non-exclusive, non-transferable, revocable license to use the Perception web application for personal and commercial purposes, subject to these terms.

SHAPE (DAW Plugin)

Purchase of the SHAPE plugin grants you a perpetual, non-exclusive, non-transferable license to install and use the software on up to three (3) devices owned or controlled by you. The free trial provides full functionality for the trial period specified at the time of download.

4. Intellectual Property

The Services and all underlying technology, including but not limited to the psychoacoustic processing algorithms, lookup table architecture, and minimum-phase convolution pipeline, are protected by European patent EP4035264 and applicable intellectual property laws.

You may not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the SHAPE plugin. The Perception web application's client-side code is visible in the browser by nature of web delivery; however, the underlying algorithms and their specific implementation remain the intellectual property of OIKLA.

The OIKLA name, SHAPE name, and associated logos are trademarks of OIKLA. You may not use these marks without prior written consent.

5. User Obligations

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to circumvent any access controls, licensing restrictions, or security measures of the Services.
  • Redistribute, sublicense, or resell the SHAPE plugin or any part of the Services.
  • Use the Services to develop a competing product or service that replicates the core functionality protected by patent EP4035264.

6. Payment and Refunds

SHAPE plugin purchases are processed through third-party payment providers. All prices are displayed in USD unless otherwise indicated. You are responsible for any applicable taxes.

Refund requests for the SHAPE plugin must be submitted within fourteen (14) days of purchase. Refunds are issued at the discretion of OIKLA and may be denied if the software has been substantially used.

7. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

OIKLA does not warrant that the Services will be uninterrupted, error-free, or free of harmful components. Audio processing results may vary depending on hardware, software configuration, and listening conditions.

8. Limitation of Liability

To the maximum extent permitted by applicable law, OIKLA, its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of the Services.

In no event shall OIKLA's total aggregate liability exceed the amount paid by you for the SHAPE plugin in the twelve (12) months preceding the event giving rise to the claim, or fifty US dollars ($50), whichever is greater.

9. Hearing Safety

The Services modify audio output levels. OIKLA is not responsible for hearing damage resulting from use of the Services at excessive volume levels. Users are responsible for maintaining safe listening levels at all times.

10. Termination

OIKLA may terminate or suspend your access to the Services at any time, without prior notice or liability, for any reason, including breach of these terms.

Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination shall survive, including intellectual property, limitation of liability, and dispute resolution clauses.

11. Governing Law

These terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
